Terms of Service
Effective October 25, 2026 · Version 2026-10-25
Please read these Terms carefully. They include a binding arbitration agreement and a class-action waiver (Section 14) that affect how disputes are resolved. By creating an account, checking the box at sign-up, or using MemphisRoast (memphisroast.tv and related services, the "Service"), you agree to these Terms, our Privacy Policy and our Community Rules. If you don't agree, don't use the Service. "MemphisRoast", "we" and "us" mean the operator of the Service.
1. Who can use MemphisRoast
- You must be at least 18 years old. By using the Service you represent that you are.
- You must be able to form a binding contract, not be barred from using the Service under applicable law, and not have been previously banned by us.
- One account per person. You are responsible for everything that happens on your account.
- We may ask you to confirm your age at any time and may suspend any account we reasonably believe belongs to someone under 18.
2. What the Service is (and the risks)
MemphisRoast randomly connects you with another adult for a live, timed video "roast battle". You will be on live video with strangers we don't know or control. Other users may say or show things that are offensive, inaccurate, or upsetting, including profanity, slurs, and jokes about sensitive topics, and roasting is insulting by design. The Service is for adults and is not filtered for offensive language. We use automated tools and human review to enforce our rules, but we cannot screen everything in real time, and no moderation system is perfect. You can leave any match at any time and report anyone.
You use the Service voluntarily and at your own risk. Don't share personal information (your full name, address, school, workplace, social handles, financial details) on camera. Don't agree to meet anyone you met on the Service. We are not responsible for what other users do, on or off the Service.
3. The AI judge is entertainment
Battles are scored by an automated AI system. Scores, verdicts, ratings, rankings and quotes are entertainment only, may be wrong or unfair, and are not statements of fact or opinion by MemphisRoast about anyone. We may change, recalculate or reset scores, ratings and leaderboards at any time. Nothing on the Service has monetary value.
4. Your conduct
You agree to follow the Community Rules. You must not:
- Call for or encourage violence against anyone or any group. (Harsh language and offensive jokes are part of the game for adults; real-world threats and incitement are not.)
- Show nudity or sexual content, make sexual comments about another user, or involve anyone under 18 in any way.
- Threaten, harass, stalk, dox, or encourage harm to anyone, including self-harm.
- Record, screenshot, stream, or share other users or their content without their consent, except clips both players agreed to share through the Service.
- Impersonate anyone, use someone else's account, or create accounts after being banned.
- Show illegal activity, weapons used threateningly, or content that infringes anyone's rights.
- Advertise, spam, solicit, or use the Service for any commercial purpose without our permission.
- Cheat or manipulate the matchmaking, ratings, or the AI judge, or reverse engineer, scrape, overload, or attack the Service.
Breaking these rules can lead to an automatic loss, strikes, suspension, permanent bans, and reports to law enforcement where required or appropriate.
5. Your content and license to us
You own what you say and show ("Your Content"). You grant MemphisRoast a worldwide, non-exclusive, royalty-free license to host, transmit, record, store, transcribe, analyze (including with automated and AI tools), and use Your Content to operate, moderate, secure, and improve the Service, enforce these Terms, and comply with law. If you and your opponent both opt in to a clip, you also grant us and other users a license to display and share that clip through the Service and on social media, and you agree your opponent may share it. You promise you have the rights needed to grant these licenses and that Your Content doesn't violate any law or anyone's rights.
6. Recording and monitoring
Matches are recorded and transcribed. Video frames and audio are analyzed by automated systems (including third-party AI services) to detect rule violations and to judge battles. Recordings are kept for a limited time for safety review as described in the Privacy Policy. By using the Service you consent to this recording, transcription, and analysis.
7. Moderation and enforcement
We may, but are not obligated to, monitor, review, block, or remove any content or account, end any match, and suspend or terminate access at any time, with or without notice, for any reason, including if we believe it is needed to protect users or comply with law. Automated decisions may be wrong; you can appeal by emailing appeals@memphisroast.tv. We cooperate with law enforcement and report suspected child sexual exploitation to the National Center for Missing & Exploited Children as required by law.
8. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at dmca@memphisroast.tv with: your contact information; identification of the work; identification and location of the infringing material; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your physical or electronic signature. We terminate repeat infringers in appropriate circumstances.
9. Third-party services
The Service relies on third parties (for example sign-in, video, transcription, AI, hosting and storage providers). Their services are governed by their own terms, and we are not responsible for them.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT CONTENT OR OTHER USERS WILL BE SAFE, LAWFUL, OR APPROPRIATE, OR THAT MODERATION WILL CATCH EVERY VIOLATION. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER, ONLINE OR OFFLINE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMPHISROAST AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO THE SERVICE, OTHER USERS, OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100. Some jurisdictions don't allow certain limitations, so some of these may not apply to you; in that case our liability is limited to the fullest extent permitted.
12. Indemnity
You agree to defend, indemnify, and hold harmless MemphisRoast and its owners, officers, employees, contractors and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your conduct toward other users, or your violation of these Terms or any law or third-party right.
13. Termination
You can stop using the Service at any time and ask us to delete your account. We may suspend or terminate your access at any time. Sections that by their nature should survive termination (including 3, 5, 10–17) survive.
14. Dispute resolution: arbitration and class-action waiver
Informal resolution first. Before filing a claim, you agree to email legal@memphisroast.tv with a description of the dispute and try to resolve it informally for 60 days.
Binding arbitration. Except as described below, any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitrator, not a court, decides questions of arbitrability, except that a court decides the enforceability of the class-action waiver. The Federal Arbitration Act governs this section.
Class-action and jury waiver. YOU AND MEMPHISROAST EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims may be brought only individually. If 25 or more similar claims are filed by the same or coordinated counsel, they will be administered in batches of up to 50, with one arbitrator per batch.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for intellectual-property infringement or misuse of the Service.
30-day opt-out. You can opt out of this arbitration agreement by emailing legal@memphisroast.tv within 30 days of first accepting these Terms, with your username and a clear statement that you opt out of arbitration.
15. Governing law and venue
These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law rules. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Alameda County, California, and you consent to their jurisdiction.
16. Changes
We may update these Terms. If a change is material, we'll ask you to accept the new version in the app before you keep playing. Changes don't apply to disputes already pending.
17. Everything else
These Terms, the Privacy Policy and the Community Rules are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates any partnership, agency or employment relationship.
